PROPRIETARY INFORMATION REQUEST

        Acknowledgement.  The CUSTOMER acknowledges that the CUSTOMER will have possession of and access to Proprietary Information, and that the Proprietary Information is a valuable asset of Middlesex. The CUSTOMER shall hold all Proprietary Information in confidence.

	Restrictions on Use.  The CUSTOMER shall use the Proprietary Information only for the purpose of understanding, testing or installing Middlesex Products at his firm or at an END USER’s site, or providing services in connection with Products sold by Middlesex. The CUSTOMER shall not copy the Proprietary Information. The CUSTOMER shall not use any Proprietary Information, directly or indirectly, to develop, improve or exploit any product that competes or would compete with any of Middlesex's products. Any current unrelated developments of the CUSTOMER are not restricted by this unless proprietary information of Middlesex is employed in their development.

	Non-Disclosure.  The CUSTOMER shall not disclose any Proprietary Information to any agent, contractor or other person not employed by the CUSTOMER, unless Middlesex, in its sole discretion, gives prior written consent to such disclosure (each such person, if any, as to whom Middlesex thus consents being referred to herein as a "Permitted Third Party").  The CUSTOMER shall disclose Proprietary Information only to its employees and Permitted Third Parties who, in each case, need such Proprietary Information to carry out a permitted use on behalf of the CUSTOMER and who have executed confidentiality agreements with the CUSTOMER that are at least as protective of the Proprietary Information as the provisions of this Section. The CUSTOMER shall take all measures reasonably necessary to protect the confidentiality of the Proprietary Information, including, without limitation, taking such precautions as the CUSTOMER takes to protect the CUSTOMER's own confidential and proprietary information.  

	Certain Exceptions.  Notwithstanding the foregoing, however, the obligations of confidentiality and restrictions on use set forth hereof shall not apply to any Proprietary Information that the CUSTOMER can demonstrate: (i) was generally known in the industry at the time of disclosure to the CUSTOMER or subsequently became generally known through no act or omission attributable to the CUSTOMER; (ii) was rightfully in the possession of the CUSTOMER, without an obligation of confidentiality, prior to disclosure by Middlesex; or (iii) is hereafter rightfully furnished to the CUSTOMER by a third party without an obligation of confidentiality.
